1. Introduction & Acceptance

Welcome to CityGems.app ("CityGems," "we," "us," or "our"). By accessing or using our website, mobile application, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you must not use our Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and SC Lucky Craft Srl, a company registered in Romania under registration number RO35828082 ("Company").

2. Description of Service

CityGems is a curated travel planning platform that provides personalized travel itineraries, local recommendations, audio guides, hidden stories, and related travel tools. Our itineraries are generated using a combination of automated tools, expert curation, and proprietary algorithms based on your input and preferences.

3. Eligibility & Age Restriction

You must be at least 16 years of age to use CityGems. If you are between 16 and 18 years of age, you represent that you have your parent's or legal guardian's permission to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

4. User Accounts

To access certain features, you may need to create an account via Google Authentication or other supported methods. You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activities that occur under your account.
  • Notifying us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice.

5. Content Disclaimer

Our Service uses automated tools and proprietary algorithms to generate travel recommendations and itineraries. While we strive for accuracy, you acknowledge and agree that:

  • All itineraries, recommendations, and content are suggestions only and should be independently verified before relying on them.
  • Information such as opening hours, pricing, availability, and accessibility may change without notice and may not reflect real-time conditions.
  • We are not responsible for closed attractions, pricing changes, safety conditions, travel disruptions, or any other inaccuracies in the generated content.
  • You should exercise your own judgment, conduct your own research, and take appropriate precautions before visiting any recommended location.
  • Content may occasionally contain factual errors, outdated information, or unintentional biases.

6. Subscriptions & Payments

CityGems offers free and paid subscription tiers ("Free," "Premium," and "Premium+"). By subscribing to a paid plan, you agree to the following:

  • Billing: Payments are processed securely via Stripe. You authorize us to charge your selected payment method on a recurring basis according to your chosen plan (monthly or annual).
  • Pricing: All prices are displayed in Euros (€) and are exclusive of VAT, which is calculated automatically based on your location in compliance with EU VAT regulations (OSS).
  • Cancellation: You may cancel your subscription at any time. Upon cancellation, you will retain access to paid features until the end of your current billing period. No partial refunds are provided for unused portions of a billing period.
  • Downgrades: If you downgrade from Premium+ to Premium, the change takes effect at the end of your current billing period.
  • Price Changes: We reserve the right to modify pricing. You will be notified of any changes before your next billing cycle.

7. Refund Policy

Due to the digital nature of our Service, refunds are generally not available once a subscription period has begun. However, we may consider refund requests on a case-by-case basis in the following circumstances:

  • Technical issues that prevent you from accessing the Service for an extended period.
  • Duplicate or erroneous charges.
  • Requests made within 48 hours of initial purchase if no paid features have been used.

To request a refund, contact us at support@citygems.app. All refund decisions are at our sole discretion.

8. Acceptable Use

You agree not to use the Service to:

  • Scrape, crawl, or use automated tools to extract content or data from CityGems.
  • Resell, redistribute, or commercially exploit CityGems content without written permission.
  • Attempt to reverse-engineer, decompile, or disassemble the Service or its underlying technology.
  • Use the Service for any unlawful, harmful, or fraudulent purpose.
  • Interfere with or disrupt the Service, its servers, or connected networks.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Upload or transmit viruses, malware, or other harmful code.

Violation of these terms may result in immediate termination of your account without notice or refund.

9. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos ("CityGems" brand and the "Power of S" identity), images, audio guides, algorithms, and software — are the exclusive property of SC Lucky Craft Srl and are protected by international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes. Generated itineraries may be shared for personal use (e.g., with travel companions) but may not be sold, published commercially, or used to create competing products.

10. Disclaimer of Warranties ("AS IS")

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free.
  • The results obtained from the Service will be accurate or reliable.
  • Any errors in the Service will be corrected.
  • The Service will meet your specific requirements or expectations.

You use the Service entirely at your own risk. CityGems is a travel planning aid, not a substitute for professional travel advice, local knowledge, or common sense.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SC LUCKY CRAFT SRL AND ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, revenue, data, goodwill, or other intangible losses.
  • Personal injury, property damage, or any harm arising from your use of or inability to use the Service.
  • Any conduct or content of any third party referenced by the Service.
  • Unauthorized access to or alteration of your data or transmissions.

In no event shall our total liability exceed the amount you have paid us in the twelve (12) months preceding the event giving rise to the claim, or €50, whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless SC Lucky Craft Srl and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any third-party rights.
  • Any content you submit or transmit through the Service.

13. Termination

We reserve the right to suspend or terminate your access to the Service at any time, for any reason, including but not limited to violations of these Terms, without prior notice or liability. Upon termination:

  • Your right to use the Service will immediately cease.
  • We may delete your account and associated data in accordance with our Privacy Policy.
  • Provisions that by their nature should survive (including limitations of liability, indemnification, and governing law) will remain in effect.

14. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of Romania and applicable European Union regulations. Any disputes arising from or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Romania.

If you are an EU consumer, you may also be entitled to invoke mandatory consumer protection laws of your country of residence, and you may raise a dispute via the EU Online Dispute Resolution platform.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms. If you disagree with any changes, you must stop using the Service.
